General Terms & Conditions

1. Scope of Application
These General Terms and Conditions (GTC) apply to all commercial transactions between Alixyz S.A., a Swiss corporation registered in the Commercial Register of the Canton of Neuchâtel under IDE number CHE-112.639.681 (hereinafter "the Seller"), and any professional buyer (hereinafter "the Buyer"). Any order implies unconditional acceptance of these GTC.
2. Products
The products offered by Alixyz S.A. include technology metals, rare earth elements and high-purity materials intended for industrial and professional use. Technical specifications (purity, form, packaging) are detailed in the product data sheets and certificates of analysis accompanying each delivery.
3. Prices and Quotations
Prices are established by quotation and are valid for the period indicated therein. Prices are exclusive of taxes, transport and insurance costs, unless otherwise stated. As metal prices are subject to fluctuations, prices may be revised in the event of a significant market variation between the quotation date and order confirmation.
4. Orders
Any order must be confirmed in writing by Alixyz S.A. to be considered accepted. The Seller reserves the right to refuse any order for legitimate reasons, in particular in the event of non-compliance with compliance requirements (KYC/AML).
5. Payment Terms
Unless otherwise agreed, payment is due within 30 days from invoice date by bank transfer. In the event of late payment, default interest of 5% per annum shall apply by operation of law, in accordance with Art. 104 CO. The Seller reserves the right to suspend deliveries in the event of non-payment.
6. Delivery and Transfer of Risk
Delivery conditions are defined according to the applicable Incoterms® 2020, as specified on the order confirmation. Unless otherwise stipulated, deliveries are made EXW (Ex Works) from our warehouses or those of our suppliers. The transfer of risk occurs in accordance with the agreed Incoterm.
7. Conformity and Claims
The Buyer is required to verify the conformity of the goods upon receipt. Any claim must be made in writing within 8 working days of receipt. After this period, the goods are deemed accepted. Each delivery is accompanied by a certificate of analysis attesting to conformity with the agreed specifications.
8. Warranty
Alixyz S.A. warrants that its products conform to the technical specifications stated on the certificate of analysis. The warranty is limited to the replacement or reimbursement of the non-conforming product, to the exclusion of any indirect damages.
9. Force Majeure
Neither party shall be held liable for failure to perform its obligations in the event of force majeure, including in particular: natural disasters, armed conflicts, embargoes, international sanctions, pandemics, supply chain disruptions, or any other circumstance beyond the reasonable control of the parties.
10. Confidentiality
The parties undertake to treat as confidential all commercial, technical and financial information exchanged in the context of their business relationship, in accordance with the customs of international commodity trading.
11. Applicable Law and Jurisdiction
These GTC are governed by Swiss law. Any dispute shall be subject to the exclusive jurisdiction of the courts of the Canton of Neuchâtel, Switzerland. The parties agree, however, to seek an amicable resolution before any legal action.
